Official Rules for the Vivid Seats x Bouqs Mother's Day Giveaway

1. Promotion Description: The Vivid Seats x Bouqs Mother’s Day Giveaway (the “Giveaway”) begins at 12:00 p.m. Central Time (“CT”) on 04/29/24 and ends at 11:59 p.m. CT on 05/05/2024 (the “Promotion Period”). By participating in the Giveaway, you unconditionally accept and agree to comply with and abide by these Official Rules and the terms of Sponsor’s Privacy Policy and Terms of Use.  

2. Sponsor: Vivid Seats LLC, 24 E Washington, Suite 900, Chicago, IL 60602 (“Sponsor”). This Giveaway is in no way sponsored, endorsed or administered by, or associated with any social media platforms, such as X (formerly Twitter), Instagram, TikTok or Facebook (“Social Media Platforms”). Any questions, comments or complaints about this Giveaway should be directed to Sponsor and not any Social Media Platform.  

3. Eligibility: The Giveaway is open only to legal residents of the United States (including D.C. and excluding residents of Puerto Rico) who as of the date of entry are 18 years of age or older (19 years of age or older if a resident of Alabama or Nebraska and 21 years of age or older if a resident of Mississippi), and who at the time of entry and through the completion of the Giveaway: (1) have internet access; (2) have an email address (which must remain the same throughout the Giveaway); and (3) have an active Instagram account. Employees of Sponsor (also referred to as “Vivid Seats” or “VS”) and any of their parent and affiliate companies as well as the immediate family (spouse, parents, children and siblings, whether biological, adoptive, step or in-law) and household members of such employees are not eligible to participate or win. The Giveaway is subject to all applicable federal, state, and local laws and regulations and is void where prohibited. THIS GIVEAWAY IS VOID OUTSIDE THE US AND IN PUERTO RICO, LEGAL RESIDENTS OUTSIDE THE US AND OF PUERTO RICO ARE NOT ELIGIBLE TO ENTER. You may enter the Giveaway in accordance with the requirements of the entry methods described below. 

4. How to Enter: No purchase is necessary to enter or participate in the Giveaway. During the Promotion Period, visit the Vivid Seats Instagram page (https://www.instagram.com/vividseats/) (the “Giveaway Page”) or the Bouqs Instagram page (https://www.instagram.com/thebouqsco) and find the Vivid Seats x Bouqs Mother’s Day Giveaway post (the “Post”). To enter the Giveaway, you must: (1) follow @VividSeats and @thebouqsco, and (2) comment what event you’d like to take the mother figure in your life to. Each entry shall be referred to as a “Submission”. Each comment on the Post shall earn you one (1) Submission. Unlimited Submissions per person. An eligible Submission enters you in the Giveaway for a chance to win the prize. Proof of sending a Submission does not constitute proof of receipt. Neither Sponsor nor The Bouqs Co. nor any of their respective parent, affiliated or subsidiary companies, advertising/promotion agencies, other promotion-affiliated entities, Social Media Platforms, or any of their respective officers, directors, employees, agents, representatives or assignees (collectively “Released Parties”) are liable for any disputes between participants related to the Submission. By entering, you agree to release the Social Media Platforms of any and all responsibility in connection with this Giveaway and agree to Instagram's terms of use.  

5. Prize/Approximate Retail Values: One (1) winner will be chosen from all eligible Instagram Submissions. The winner will receive a Vivid Seats Gift Card with a value of approximately one thousand dollars ($1,000), a Bouqs Gift Card with a value of approximately two hundred fifty dollars ($250) (collectively, “Gift Cards”), and two hundred seventy-five dollars ($275) payable to the winner to help offset any taxes due from the receipt of the prize (“Tax Amount”) (collectively, “the Prize”). Total ARV: ($1,525). The Gift Cards will be delivered via mail or e-mail. The Tax Amount will be transferred to the winner via PayPal. The Potential winner must provide Sponsor with their PayPal account email address to receive the Prize. If the potential winner does not have a PayPal account, they may create an account for free at Paypal.com. Potential winner may also be required to provide a tax ID via PayPal (or other method requested by Sponsor) prior to claiming the prize. Sponsor makes no representations or guarantees that the additional prize money will sufficiently cover the winner’s tax obligations; the winner should consult their tax advisor to understand their personal tax obligations. Winners are responsible for payment of any income taxes on total value of prize under applicable federal, provincial and local laws. Prize is non-transferable. No prize substitutions or cash redemptions, except Sponsor reserves the right to substitute a prize of equal or greater value if for any reason an advertised prize cannot be awarded as intended in these rules; and potential winners agree to such substitution as a condition of entry in this Giveaway. Winners are responsible for all travel, lodging, meals, and other ancillary expenses necessary to attend the event(s) in connection with the prize. Limit one prize per entrant.  

All Prize and Prize fulfillment details not specifically stated in these Official Rules will be determined by Sponsor in its sole discretion. All taxes (federal, state, and local), as well as any expenses not specified in these Rules as being provided as part of the Prize, are the sole responsibility of each winner; the winner may be required to complete a W-9 and may receive a 1099 for the value of the Prize.  Sponsor is not responsible for, and will not replace any, lost, mutilated, or stolen Prize or Prize component, or any Prize/Prize component that is undeliverable or does not reach the winner because of incorrect or changed contact information. If the winner does not accept or use the entire Prize, the unaccepted or unused part of the Prize will be forfeited, and Sponsor will have no further obligation with respect to the Prize or portion of the Prize. Sponsor is not responsible for any inability of the winner to accept or use the Prize (or portion of any Prize) for any reason. The winner is strictly prohibited from selling, auctioning, trading or otherwise transferring any part of the Prize. No transfers, Prize substitutions or cash redemptions will be made, except at Sponsor’s sole discretion. Sponsor reserves the right to substitute any stated Prize or portion of the Prize with another prize or portion of a prize of equal or greater value for any reason, including, without limitation, prize unavailability. No more than the stated Prize will be awarded. Participants waive the right to assert, as a cost of winning the Prize, any and all costs of verification and redemption or travel to claim or use the Prize and any liability and publicity which might arise from claiming or seeking to claim said Prize. 

It is the winner’s sole responsibility to comply with all travel requirements, which may include, without limitation, presenting a valid passport and/or other necessary identification (including photograph) at the time of travel. Schedules are subject to change without notice. The Released Parties are not responsible for any act or omissions whatsoever by air carriers, hotels, venue operators, transportation companies or any other persons providing any trip-related services or accommodations. The Released Parties are not liable for any missed events, opportunities or expenses incurred because of flight cancellation/delay or ground transportation delay. No refund or compensation will be made in the event of the cancellation or delay of any transportation or other event except at the sole and absolute discretion of the Released Parties. The winner is responsible for obtaining travel insurance (and all other forms of insurance) at their option and hereby acknowledge that the Released Parties have not and will not obtain or provide travel insurance or any other form of insurance. Lost, stolen or damaged tickets, travel vouchers or certificates will not be replaced or exchanged. Any taxes (federal, state, and local) and all expenses not specifically mentioned herein, are not included as part of the Prize, and are solely your responsibility, including, but not limited to: taxes, additional ground transportation at the destination(s), carrier fees, government charges, room service, bag check fees, parking fees, laundry service, food and beverages, merchandise, souvenirs, telephone calls, tips, gratuities and service charges. Transportation carrier and hotel policies and regulations apply. Travel and lodging are subject to availability. 

6. Winner Determination: The winner will be randomly chosen from all valid Submissions received during the Promotion Period by 11:59 p.m. CT on 05/06/24. Odds of being selected depend on total number of eligible Submissions received. Sponsor reserves the right at its sole discretion to choose an alternative qualifier or possible winner in the event that a qualifier or possible winner has been disqualified or is deemed ineligible, in Sponsor’s sole discretion.  

7. Winner Notification: Once the selection of the winner is complete, the selected winner will be notified no later than 11:59 p.m. CT on 05/06/24 via Instagram direct message. Failure to respond within twenty-four (24) hours of receipt of the direct message or any kind of disrespectful behavior towards Sponsor or Sponsor’s employees may result in disqualification and awarding of prize to another entrant. Sponsor is not responsible for any change in an entrant’s email address or other contact information. Sponsor is not obligated to attempt to notify potential selected winners by any other method or means of communication. The selected winner may be required to sign a release that: (i) releases the Released Parties from and against any and all harm, expense, loss, damage, liability, or injury resulting directly or indirectly from participating in the Giveaway or the award, receipt, possession, use, or misuse of any prize awarded in the Giveaway; (ii) contains the selected winner’s acknowledgment and agreement to be bound by the Official Rules; and (iii) authorizes the Released Parties to use the selected winner’s and guests’ (if applicable) names, likeness, photographs, voices, images, and biographical data for advertising, promotional, or any other purpose, in any media (the “Release”). If the selected winner fails to sign the Release within forty-eight (48) hours of receipt, the selected winner may be disqualified.  

8. Release and Limitation of Liability: By entering this Giveaway and/or accepting any prize, you agree to release, discharge and hold harmless the Released Parties from and against any claims, causes of action, losses, and damages arising out of your participation in this Giveaway, including, but not limited to, any Giveaway-related activities, personal injury, death, damage to or loss of property, and the acceptance, possession, use and/or misuse of any prize awarded in this Giveaway. By entering this Giveaway and/or accepting any prize, you further agree that Sponsor may use your Submission content, name, handle, likeness, photographs, and biographical information in any media for advertising, marketing, promotional or any other purposes without further compensation or right of approval, unless prohibited by law. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.  

9. Disputes: Except where prohibited, you agree that all matters arising out of or relating to this Giveaway and these Official Rules are governed by, and construed in accordance with, the laws of Illinois, without giving effect to any of its conflict of laws provisions thereof. Except where prohibited by law, as a condition of participating in this Giveaway, you further agree that: (1) any and all disputes and causes of action arising out of or connected with this Giveaway or the prizes awarded, shall be resolved individually, without resort to any form of class action, and exclusively by final and binding arbitration under the rules of the American Arbitration Association and held in Chicago, Illinois; (2) the Federal Arbitration Act shall govern the interpretation, enforcement and all proceedings at such arbitration; and (3) judgment upon such arbitration award may be entered in any court having jurisdiction. 

10. General Terms:

Sponsor reserves the right to cancel, suspend, and/or modify the Giveaway: (1) if fraud or technical failures destroy the integrity of the Giveaway as determined by the Sponsor in its sole discretion; (2) if required by Instagram; and/or (3) if Sponsor is prevented from awarding prizes or continuing with the Giveaway as contemplated herein by any event beyond its control. If the Giveaway is terminated before the designated end date, Sponsor reserves the right to award the prize(s) based on eligible Submissions received prior to the termination.  

Sponsor is not responsible for errors or problems downloading or uploading any Giveaway-related materials or information, or for any other technical malfunctions of electronic equipment, computer on-line systems, servers, or providers, computer hardware or software failures, phone lines, failure of any electronic mail entry to be received by Sponsor on account of technical problems, traffic, congestion on the internet or the Giveaway Page, or any other technical problems related to Giveaway Page Submissions that may limit an entrant’s ability to participate in this Giveaway. Submissions made on another’s behalf by any other individuals or any other entity, including but not limited to commercial contest/Giveaway subscription notification and/or entering services, will be declared invalid and disqualified from this Giveaway. Submissions made through any robotic, automatic, mechanical, programmed or similar entry duplication method will be disqualified.  

Sponsor’s decisions are final and binding in all matters relating to the Giveaway.  

Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Giveaway, to be acting in violation of these Official Rules, or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Giveaway, or to annoy, abuse, threaten or harass any other person, and Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law.  

The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. If any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.  

11. Winners List: The winners list will be available upon request for a period of six (6) months from the end of the Promotion Period.
