Official Rules for the Vivid Seats 11 Days of Giveaways Promotion (“Official Rules”)

NO PURCHASE NECESSARY. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED OR RESTRICTED BY LAW.

1. Promotion Description: The Vivid Seats 11 Days of Giveaways (the “Promotion”) begins at 11:11 a.m. Eastern Time (“ET”) on 11/1/22 and ends at 11:11 p.m. ET on 11/11/22 (the “Promotion Period”). The Promotion consists of 11 separate daily giveaways (each a “Daily Giveaway”). For the purposes of the Daily Giveaway, each day will begin at 11:11 a.m. ET and end at 11:11 p.m. ET (each day a “Giveaway Entry Period”). By participating in the Promotion, you unconditionally accept and agree to comply with and abide by these Official Rules and the terms of Sponsor’s Privacy Policy and Terms of Use. THESE OFFICIAL RULES CONTAIN AN ARBITRATION AND DISPUTE RESOLUTION PROVISION THAT REQUIRES YOU AND SPONSOR TO RESOLVE DISPUTES (WITH CERTAIN EXCEPTIONS) BY BINDING AND EXCLUSIVE ARBITRATION INSTEAD OF IN COURT OR BEFORE A JURY. 

2. Sponsor: Vivid Seats LLC, 24 E Washington, Suite 900, Chicago, IL 60602 (“Sponsor”). This Promotion is in no way sponsored, endorsed or administered by, or associated with Twitter, Instagram, TikTok, or Facebook (“Social Media Platforms”). Any questions, comments or complaints about this Promotion should be directed to Sponsor and not any Social Media Platform.

3. Eligibility: The Promotion is open only to legal residents of Canada (excluding residents of Quebec) and the United States (excluding residents of Puerto Rico) who as of the date of entry are at least eighteen (18) years of age or age of majority in their state or province of residence (nineteen (19) for residents of Alabama or Nebraska and twenty-one (21) for residents of Mississippi), and who at the time of entry and through the completion of the Promotion: (1) have internet access; (2) have an email address (which must remain the same throughout the Promotion); (3) have an active Instagram account and/or Twitter account, as applicable to the entry method for the particular Daily Giveaway; and (4) have or create a free Vivid Seats account.  Employees of Sponsor (also referred to as “Vivid Seats” or “VS”) and any of their parent and affiliate companies as well as the immediate family (spouse, parents, children and siblings, whether biological, adoptive, step or in-law) and household members of such employees are not eligible to participate or win. The Promotion is subject to all applicable federal, state, and local laws and regulations and is void where prohibited. THIS PROMOTION IS VOID IN THE PROVINCE OF QUEBEC AND PUERTO RICO, AND LEGAL RESIDENTS OF QUEBEC AND PUERTO RICO ARE NOT ELIGIBLE TO ENTER. You may enter the Promotion in accordance with the requirements of the entry methods described below.

4. How to Enter: No purchase is necessary to enter or participate in the Promotion. You may enter any or all of the individual Daily Giveaways during the respective Giveaway Entry Periods by visiting the Vivid Seats Instagram page (https://instagram.com/VividSeats) or the Vivid Seats Twitter page (https://twitter.com/VividSeats) (the “Promotion Websites”) to find the Daily Giveaway post you wish to enter. The entry method for each Daily Giveaway will take place on either Twitter or Instagram, as described below. To enter, you must:

  • 11/4/2022 – Spin the Triangle Giveaway: (1) Follow @VividSeats on Instagram (2) like the Daily Giveaway Instagram post and (3) comment your favorite Blink-182 song in the Daily Giveaway Instagram post
  • 11/5/2022 – American Football Day Giveaway: (1) Follow @VividSeats on Twitter (2) tag a friend below the Daily Giveaway tweet and (3) retweet the Daily Giveaway tweet
  • 11/6/2022 – National Nacho Cheese Day: (1) Follow @VividSeats on Instagram (2) like the Daily Giveaway Instagram post and (3) post a comment below the Daily Giveaway post of your favorite basketball team
  • 11/7/2022 – $1,000 Ticket Giveaway: (1) Follow @VividSeats on Twitter (2) retweet the Daily Giveaway tweet and (3) comment in the Daily Giveaway tweet what event you’d like to go to
  • 11/8/2022 – Spin the Triangle: (1) Follow @VividSeats on Instagram (2) tag a friend in the Daily Giveaway post comments and (3) like the Daily Giveaway Instagram post
  • 11/9/2022 – Surprise & Delight Giveaway: (1) Follow @VividSeats on Twitter (2) retweet the Daily Giveaway tweet and (3) comment the name of an artist you want to see live
  • 11/10/2022 – $1,000 Ticket Giveaway: (1) Follow @VividSeats on Instagram (2) tag a friend in the Daily Giveaway post comments and (3) like the Daily Giveaway Instagram post
  • 11/11/2022 – Bonus 11 Giveaway: (1) Follow @VividSeats on Twitter (2) tag a friend below the Daily Giveaway tweet and (3) retweet the Daily Giveaway tweet

Each entry shall be referred to as a “Submission”. Maximum of one (1) Submission per person, per email address and per Instagram and/or Twitter account per Daily Giveaway. An eligible Submission during a Giveaway Entry Period enters you in that Daily Giveaway for a chance to win the prize associated with that Daily Giveaway. Entries in one Giveaway Entry period do not roll over to any subsequent Giveaway Entry Period(s).  Proof of sending a Submission does not constitute proof of receipt; entries will not be acknowledged. Neither Sponsor nor any of its parent, affiliated or subsidiary companies, advertising/promotion agencies, other promotion-affiliated entities, Social Media Platforms, or any of their respective officers, directors, employees, agents, representatives or assignees (collectively “Released Parties”) are liable for any disputes between participants related to the Submission. By entering, you agree to release the Social Media Platforms of any and all responsibility in connection with this Promotion and agree to Instagram's and Twitter’s terms of use.

Prizes/Approximate Retail Values: One (1) winner will be chosen for each Daily Giveaway from all eligible Submissions received during the Giveaway Entry Period for that Daily Giveaway (except that (11) winners will be chosen in the same manner for each Surprise & Delight Giveaway).  Winners are responsible for payment of any income taxes on total value of prize under applicable federal, provincial and local laws. Prizes are non-transferable. No prize substitutions or cash redemptions, except Sponsor reserves the right to substitute a prize of equal or greater value if for any reason an advertised prize cannot be awarded as intended in these rules; and potential winners agree to such substitution as a condition of entry in this Promotion. Winners are responsible for all travel, lodging, meals, and other ancillary expenses necessary to attend the events in connection with the prizes.  Limit one prize per entrant during the entire Promotion Period.

5. Winner Determination: The winner(s) for each Daily Giveaway will be randomly chosen from all eligible Submissions received during the applicable Giveaway Entry Period.  Selection will be completed by 4:00 p.m. ET on the day after the applicable Daily Giveaway. Odds of being selected depend on the total number of eligible Submissions received for the applicable Daily Giveaway. All potential winners are subject to verification of eligibility and compliance with these Official Rules and will be required to create a free Vivid Seats account in order to receive and/or use their prize. Sponsor reserves the right at its sole discretion to choose an alternative qualifier or possible winner in the event that a qualifier or possible winner has been disqualified or is deemed ineligible, in Sponsor’s sole discretion.

6. Winner Notification: Once the selection of the winner(s) is complete, the selected winner(s) will be notified no later than 5:00pm ET on the day following the applicable Giveaway Entry Period via Instagram direct message or Twitter direct message, as applicable to the specific Daily Giveaway. If a selected winner is a Canadian resident, they will be required to correctly answer a mathematical skill question administered online or via telephone, at the Sponsor’s sole discretion, as a condition of eligibility to receive the prize.  Failure to respond within 48 hours of receipt of the direct message may result in disqualification and awarding of prize to another entrant. Sponsor is not responsible for any change in an entrant’s email address or other contact information. Sponsor is not obligated to attempt to notify potential winners by any other method or means of communication. Each selected winner may be required to sign a release that: (i) releases the Released Parties from and against any and all harm, expense, loss, damage, liability, or injury resulting directly or indirectly from participating in the Promotion or the award, receipt, possession, use, or misuse of any prize awarded in the Promotion; (ii) contains the selected winner’s acknowledgment and agreement to be bound by the Official Rules; and (iii) authorizes the Released Parties to use the selected winner’s and guests’ (if applicable) names, likeness, photographs, voices, images, and biographical data for advertising, promotional, or any other purpose, in any media. If a selected winner fails to sign the release within 3 business days of receipt, the selected winner may be disqualified.

7. Release and Limitation of Liability: By entering this Promotion and/or accepting receipt of any prize, you agree to release, discharge and hold harmless the Released Parties from and against any claims, causes of action, losses, and damages arising out of your participation in this Promotion, including, but not limited to, any Promotion-related activities, personal injury, death, damage to or loss of property, and the acceptance, possession, use and/or misuse of any prize awarded in this Promotion. By entering this Promotion and/or accepting any prize, you further agree that Sponsor may use your Submission content, name, likeness, photographs, and biographical information in any media for advertising, marketing, promotional or any other purposes without further compensation or right of approval, unless prohibited by law. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.

8. Disputes: Except where prohibited, you agree that all matters arising out of or relating to this Promotion and these Official Rules are governed by, and construed in accordance with, the laws of Illinois, without giving effect to any of its conflict of laws provisions thereof. Except where prohibited by law, as a condition of participating in this Promotion, you further agree that: (1) any and all disputes and causes of action arising out of or connected with this Promotion or the prizes awarded, shall be resolved individually, without resort to any form of class action, and exclusively by final and binding arbitration under the rules of the American Arbitration Association and held in Chicago, Illinois; (2) the Federal Arbitration Act shall govern the interpretation, enforcement and all proceedings at such arbitration; and (3) judgment upon such arbitration award may be entered in any court having jurisdiction.

9. General Terms:

  • Sponsor reserves the right to cancel, suspend, or modify the Promotion: (1) if fraud or technical failures destroy the integrity of the Promotion as determined by the Sponsor in its sole discretion; (2) if required by any Social Media Platform; or (3) if Sponsor is prevented from awarding prizes or continuing with the Promotion as contemplated herein by any event beyond its control. Sponsor also reserves the right to cancel the Promotion following completion of any Giveaway Entry Period.
  • Sponsor is not responsible for errors or problems downloading or uploading any Promotion-related materials or information, or for any other technical malfunctions of electronic equipment, computer on-line systems, servers, or providers, computer hardware or software failures, phone lines, failure of any electronic mail entry to be received by Sponsor on account of technical problems, traffic, congestion on the internet or the Promotion Website, or any other technical problems related to Promotion Website entries that may limit an entrant’s ability to participate in this Promotion. Submissions made on another’s behalf by any other individuals or any other entity, including but not limited to commercial contest/Promotion subscription notification and/or entering services, will be declared invalid and disqualified from this Promotion. Submissions made through any robotic, automatic, mechanical, programmed or similar entry duplication method will be disqualified.
  • Sponsor’s decisions are final and binding in all matters relating to the Promotion.
  • Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Promotion, to be acting in violation of these Official Rules, or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Promotion, or to annoy, abuse, threaten or harass any other person, and Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law.
  • The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. If any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.
